(NEW YORK)–The SEC’s proposed Form 10-S could give Over the Counter (OTC) public companies a new option to report results twice a year instead of every quarter, according to the agency’s recent proposal.

OTC Issuers would still be required to provide core disclosures, including financial statements, risk factors, and management discussion, but now on a semiannual schedule.

For smaller cap issuers, especially OTC traded companies, the change could reduce reporting costs and administrative strain. Fewer filing deadlines means more time for management to focus on operations, financing, and business development rather than recurring compliance work. Ludlow research believes this proposal could be especially useful for companies with lean staffs and limited resources, and help many OTC Issuers avoid the dreaded Expert Market of no return.

The SEC’s proposal is still under review, and any final rule would likely draw attention from public companies weighing the tradeoff between lower costs and less frequent reporting, and could result in more small issuers returning to OTC listings as an option.
